Research on Equity Incentive Plan Features Based on Control Rights

This paper takes the company which announced equity incentive program since 2006 for example, from the perspective of control of listed companies attribution, by studying the various factors which affect the substance right to control the company, Equity incentive of listed companies is divided into two kinds. One is the right to control attributable to shareholders, the other is attributed to the management, conduct a comparative study from equity incentive objectionable features which belong to different control rights. Explore the essence of the relationship between the rights of ownership and control rights management incentive plan shares characteristics to provide suggestions and comments for the listed companies to develope equity incentive plan and guidelines for monitoring and incentive policies.
